FAQ

Where can I find all current New Jersey Secretary of State business forms?

New Jersey business-entity filings are handled by the Division of Revenue and Enterprise Services rather than a Secretary of State office. Current filing links and service pages are collected on the DORES main business filing page.

The main page routes users to New Jersey’s Online Business Formation Service, Annual Reports and Change Services, the Business Charter Amendment Service, reinstatement information, and the alternate filing forms page. The controlling fee schedule is the DORES business filing fee schedule.

Is the registered agent consent form required to be filed with the New Jersey Secretary of State?

New Jersey does not publish a standalone registered-agent consent form on its current DORES business filing pages.

Instead, the registered agent and registered office are supplied inside the formation, authority, change, conversion, or merger filing itself. The online business formation service also requires registered-agent information, including an email address for registered-agent notifications.

What form is used to change a registered agent in New Jersey?

For corporations and limited partnerships, the standard paper change filing is Form C-104G Certificate of Change of Registered Office &/or Registered Agent, and the filing fee is $25.

For limited liability companies, the standard paper change filing is Form L-122 Certificate of Change – Registered Name or Address, or Both, and the filing fee is $25.

For limited liability partnerships, the registered-agent change is filed through Annual Reports and Change Services, and the fee is $25.

Filing is available through New Jersey’s online filing services, by mail to NJ Division of Revenue and Enterprise Services, Corporate Unit, PO Box 308, Trenton, NJ 08646, in person at 33 West State Street, 5th Floor, Trenton, NJ 08608, and by fax where the filing authorizes fax submission at 609.984.6851. 609.292.9292. NJ.CorpFilingUnit@treas.nj.gov.

What is the difference between the entity-filed change form and the agent-filed change form in New Jersey?

An entity-filed change updates the public record for one named business. In New Jersey, that usually means Form C-104G Certificate of Change of Registered Office &/or Registered Agent for corporations and limited partnerships, or Form L-122 Certificate of Change – Registered Name or Address, or Both for limited liability companies.

An agent-filed change is used when the registered agent is updating its own office address for represented corporations. New Jersey publishes Form C-104D Notification of Change of Address of Registered Office for that purpose, and the form requires 20 days’ written notice to each listed corporation before filing.

New Jersey does not publish a separate multi-entity agent-filed change-of-name form for limited liability companies, limited partnerships, or limited liability partnerships on its current DORES pages. For those entities, the public record is updated through the entity filing or the online change service.

Is there a fee to form a nonprofit corporation in New Jersey?

Yes. The DORES business filing fee schedule lists $50 for a domestic nonprofit certificate of incorporation.

The same fee schedule lists $100 for a domestic for-profit corporation certificate of incorporation. The current DORES pages do not publish a separate online convenience fee for business formation filings.

What forms are used to register an out-of-state LLC in New Jersey?

A foreign limited liability company registers through the Business Entity Public Record Filing Application or through New Jersey’s Online Business Formation Service, and the filing fee is $100.

That filing requires a New Jersey registered agent and a New Jersey registered office. The current DORES formation and fee pages do not publish a separate quantified late-registration penalty for a foreign LLC that began doing business before filing.

What forms are used to form or register a partnership in New Jersey?

A domestic limited partnership files the Business Entity Public Record Filing Application for its New Jersey public record filing, and the filing fee is $100. A foreign limited partnership uses the same filing pathway for its New Jersey authority filing, and the filing fee is also $100.

A domestic limited liability partnership files the same public-record filing application for its New Jersey formation, and a foreign limited liability partnership files it for New Jersey registration. Each filing fee is $100, and each filing requires a New Jersey registered agent and registered office.

An LP filing creates the limited partnership as a New Jersey record entity or authorizes the foreign LP to do business here. An LLP filing registers limited-liability partnership status for the partnership rather than creating a corporation or limited liability company.

The current DORES pages do not publish a separate LLLP form set. General partnerships are directed to the online business registration system rather than the business formation service, and the registered-agent forms in this article do not apply to that registration path.

Can I file New Jersey SOS forms online?

Yes. New Jersey business-entity filings are handled online through DORES rather than a Secretary of State portal.

New Jersey’s Online Business Formation Service is used for new entity formations and authorizations. The page states that users may create a Business Formation account if they frequently use the service or need shared payment-account access, but the page does not state that an account is mandatory for every filing.

Annual Reports and Change Services is used for annual reports, registered-agent changes, reinstatements, and certain closeout filings. The annual report FAQ states that a registered-agent change filed as part of an annual report or reinstatement carries the $25 change fee with no additional service fee.

The Business Charter Amendment Service is used for certain charter amendments and related filings. Some paper filings also state that fax filing is available as an optional expedited service, but the published pages reviewed here do not state one universal expedited-processing amount for all business filings.
